Articles of Incorporation

The initial corporate filing that creates a company is most commonly referred to as the Articles of Incorporation, sometimes known as the Articles of Organization or Charter Documents. The actual name of the initial filing varies by state and more so by company type (entity type). There are numerous entity types including C-Corporations, S-Corporations, Limited Liability Companies, Limited Partnerships and many more. Regardless of the entity type, a company can only be formed in one state referred to as the "domestic state" also known as the "state of incorporation." Upon the formation (or incorporation) of a company the domestic state will require statutory fees to be paid, possibly including entity taxes. The selection of your domestic state can be an important decision with various business registration and tax consequences.

What is a Federal Tax Identification Number (FEIN)?

"Federal Tax Identification Number" is essentially a social security number for business entities. A federal tax identification number is often referred to as an "Employer Identification Number (EIN)" or a "Federal Employer Identification Number (FEIN)" or a "Tax Identification Number (TIN)" in some instances.

FEIN Registrations

In order to obtain a federal tax identification number, an application must be completed and submitted to the Internal Revenue Services (IRS). Federal tax identification numbers are used for a variety of reasons including the reporting of corporate taxes, business identification, opening of company bank accounts, as well as the tracking of employee payroll. In addition to a federal tax identification registration, some states will also require that you apply for a unique State Tax Identification Number when transacting business within those states.
