| New Tennessee Requirements | |

Effective July 1, 2010
New legislation was passed in Tennessee regarding additional requirements for the reinstatement of entities. Effective July 1, all dissolved corporations, LLCs and LLPs will be required to submit a good standing along with their applications for reinstatement.
In addition, all entities will be required to submit a tax clearance in order for termination or withdrawal.
